Terms of Service

​Effective Date: 7 July 2025

Welcome to Pattern Project Ltd trading as MannyAI (“Supplier”, “we”, “our”, or “us”). These Terms of Service (“Terms”) govern the use of our software-as-a-service platform and any related websites, applications, and support services (collectively, the “Services”). The company or entity entering into the agreement is referred to as (“Customer”, “you”, or “your”). By accessing or using the Services, you agree to these Terms

1. Services & Account Access
  • The Supplier provides access to AI-powered workflow tools for processes such as range planning, design, costing, and allocation.
     

  • We grant you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes during your active subscription.
     

  • Access is limited to the number of user subscriptions you purchase.

2. Fees & Payment
  • Different services have different types of subscriptions and fees. Invoices are due within 30 days of issue.
     

  • Amounts are exclusive of VAT and other applicable taxes.
     

  • If an invoice remains unpaid after its due date, interest may accrue daily at 4% over the Bank of England Base Rate and we may suspend access to the Services until paid in full.
     

  • The Supplier can increase the fees for a renewal period or at any time during the term with at least 30 days' prior written notice.

3. Customer Obligations and Use of Service
  • Customer Responsibilities: The Customer must:

    • Cooperate with the Supplier and provide all accurate necessary information.

    • Ensure all users use the Services in accordance with these Terms and applicable laws.

    • Keep all credentials secure and prevent unauthorised use.

    • Immediately notify the Supplier of any security incidents or unauthorized access.
       

  • Prohibited Actions: The Customer is not permitted to:

    • Copy, modify, duplicate, or create derivative works from the Services.

    • Attempt to reverse engineer or decompile the Services.

    • Use the Services to build a competing product.

    • Resell, share or sublicense the Services to any other party.

    • Access, store, or transmit viruses, malware or any other harmful or illegal material while using the Services.

    • Introduce any Virus or Vulnerability into the Supplier's systems.

4. Data Protection, Privacy & Confidentiality
  • You own your data. We process Customer Data only to provide the Services, in accordance with UK GDPR and other applicable law.
     

  • We implement appropriate technical and organisational measures to protect Customer Data.
     

  • Strict data isolation: Your data resides in a dedicated, access‑controlled environment and is logically separated from other customers.
     

  • No cross‑training without consent: We will not use your data to train, fine‑tune, or improve models for other clients without your prior written consent.
     

  • On request or termination, we will securely delete or return Customer Data (including backups and derivatives) within 30 days, unless we must retain it by law.
     

  • Both parties must keep each other’s Confidential Information secret and use it only as necessary to fulfil obligations under these Terms.

5. Service Levels & Support
  • We aim for 99.5% availability during UK business hours (Mon–Fri, 9:00–17:00, excluding public/bank holidays).
     

  • We will use commercially reasonable efforts to make the Services available, except during planned or emergency maintenance.
     

  • Standard support is provided during the Supplier's normal business hours.

6. Intellectual Property
  • All intellectual property rights in the Services (and any improvements) remain with us and/or our licensors.
     

  • You own all rights, including Intellectual Property Rights, in your data that you input into the Services.
     

  • You may not use the Services to infringe the rights of others.

7. Warranties & Disclaimers
  • We will provide the Services with reasonable skill and care.
     

  • We do not warrant that the Services will be uninterrupted, error‑free, or meet all of your requirements, or that they will be free from vulnerabilities or viruses. The Services are provided on an "as is" basis.

8. Limitation of Liability
  • To the fullest extent permitted by law, neither party is liable for indirect or consequential losses (including loss of profit or business).
     

  • Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be limited by law.

9. Term, Suspension & Termination
  • Either party may end the Services with 30 days’ written notice.
     

  • We may terminate immediately if you fail to pay any fees, materially breach these Terms, or become insolvent and cease to carry on your business.
     

  • On termination, your right to access the Services ends immediately; at your request, we will delete or return your data as set out above.

10. Uncontrollable Events

We are not responsible for delay or failure caused by events outside our reasonable control (e.g., natural disasters or strikes); if such events persist, either party may terminate on written notice in accordance with applicable law.

11. Notices

Formal notices must be sent to the contact details provided in your order or account and will be deemed received in accordance with applicable law.

12. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable advance notice. Continued use after changes take effect constitutes acceptance.

13. Governing Law & Jurisdiction

The courts of England and Wales have exclusive jurisdiction over any disputes arising out of or in connection with these Terms
